Leave & Licence vs. Rent Agreement: What’s the Difference Under RERA?

By NyayKart Legal Team – Experts in RERA, Property Law & Real Estate Compliance

When it comes to renting or occupying property in India, most people use either a Rent (or Lease) Agreement or a Leave & Licence Agreement - often without understanding their legal implications.

While they seem similar, these two are completely different in law. One creates a tenancy, the other merely permits use. And with the Real Estate (Regulation and Development) Act, 2016 (RERA) bringing transparency to property dealings, understanding this distinction has become more important than ever.

In this blog, we explain in detail:

  • What is a Rent Agreement and Leave & Licence Agreement

  • The legal and practical differences between them

  • The impact and relevance of RERA

  • Legal tips for landlords, tenants, and developers

  • Common mistakes and how to avoid disputes

What is a Rent Agreement?

A Rent Agreement (also called a Lease Agreement) is a legal contract where the landlord transfers possession and tenancy rights to a tenant for a fixed period, in exchange for rent.

  • Exclusive possession: The tenant gains legal possession and can exclude even the landlord from entry (except as allowed by the agreement).

  • Tenancy rights: The tenant’s rights are protected under state Rent Control Acts (like Maharashtra Rent Control Act, Delhi Rent Control Act, etc.).

  • Longer duration: Usually for 12 months or more, often renewable.

  • Stronger tenant protection: Eviction is difficult and requires a proper legal process.

  • Registration: Compulsory for agreements beyond 11 months. Stamp duty is payable.

Example

Mr. Mehta rents his 2BHK flat in Pune to a family for 2 years at ₹25,000/month. The family has exclusive possession and cannot be evicted without due legal process. This is a Rent Agreement - not a Leave & Licence.

What is a Leave & Licence Agreement?

A Leave & Licence Agreement is when the property owner (Licensor) grants permission to another person (Licensee) to use the property temporarily, without creating any tenancy rights.

Key Legal Aspects

  • No transfer of possession: The licensor retains control; the licensee has mere “permission to use.”

  • Short duration: Generally 11 months, renewable by mutual consent.

  • Easy termination: The licensor can revoke the license on short notice as per contract terms.

  • Applicable law: Governed by the Indian Easements Act, 1882, and Contract Act, not by Rent Control Acts.

  • Purpose: Commonly used for corporate housing, paying guests (PGs), and short-term rentals.

Example

Ms. Sharma gives her Mumbai apartment to a software engineer for 11 months with 1-month notice clause. She retains legal possession and can terminate easily. This is a Leave & Licence arrangement.

RERA’s Role in Leave & Licence or Rent Agreements

The Real Estate (Regulation and Development) Act, 2016 (RERA) regulates:

  • Real estate project registration,

  • Builder-buyer relationships,

  • Timely possession,

  • Disclosure of project details, and

  • Protection of buyers’ rights.

It does not govern rental or licence agreements directly, because RERA primarily applies to sale or purchase transactions — not temporary occupation.

However, RERA may apply indirectly in two scenarios:

  1. Developer letting unsold flats on rent/licence – If the builder uses RERA-registered units for rental purposes before completion, he must ensure such use does not violate project registration conditions.

  2. Buyers renting RERA-registered flats – The flat’s ownership and title remain subject to disclosures made under RERA, so all occupancy agreements must align with those records.

Thus, while RERA does not regulate tenancy, compliance matters if:

  • The property is in a RERA-registered project, or

  • The landlord is also the developer or promoter.

    Legal Tips from NyayKart Experts

  • For short-term, flexible use, opt for a Leave & Licence Agreement.

  • For long-term occupancy, go for a Rent Agreement, but ensure all legal compliances.

  • Developers should review all lease/licence agreements to ensure they don’t conflict with RERA registration details.

  • Always include key clauses: Lock-in Period, Termination, Force Majeure, Maintenance, Indemnity, and Dispute Resolution.

Real-Life Example: Maharashtra Practice

In Maharashtra, especially Mumbai, Leave & Licence Agreements are standard for both residential and commercial rentals.Under Maharashtra Rent Control Act, 1999, such agreements must be compulsorily registered even for 11 months. This offers protection to both parties while avoiding the rigidity of long-term tenancies.

Conclusion

Both agreements serve different purposes:

  • Rent Agreement → Suitable for long-term occupancy and security of tenure, but stricter on landlords.

  • Leave & Licence → Ideal for short-term flexibility with limited rights to the occupant.

From a RERA perspective:

  • These agreements don’t require RERA registration.

  • But if the property lies within a RERA-registered project, ensure no violation of disclosures or buyer rights.

In all cases, draft clearly, register properly, and consult a legal professional to prevent future disputes.
